These Terms of Service (the "Terms") govern your access to and use of The Modern CTO Circle, including its website, member platform, communications, and related services (collectively, the "Service"), operated by The Modern CTO Circle ("TMCC," "we," "us," or "our").
By creating an account, accessing the Service, or using any feature of the platform, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
Your privacy is governed by a separate document. Please review our Privacy Policy, which forms part of your relationship with us but is not incorporated into these Terms.
01. Membership and Eligibility
Who may join
The Modern CTO Circle is a selective community for senior technology executives. Membership is intended for individuals holding, or having recently held, leadership positions in technology, engineering, product, data, security, or related disciplines.
To register, you must:
- Be at least 18 years of age and able to enter a binding contract under the laws of your jurisdiction;
- Provide accurate, current, and complete information during registration and keep it up to date;
- Use the Service in your individual capacity, not on behalf of a group, agency, or automated system; and
- Not be barred from receiving the Service under the laws of the United States or any other applicable jurisdiction.
Membership tiers
The Service is offered through a free baseline membership and one or more paid tiers that unlock additional content, events, and access. We reserve the right to introduce, modify, rename, or retire tiers, and to adjust the features and pricing of any tier, at our discretion. Material changes affecting active paid members will be communicated in advance.
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at security@modernctocircle.com of any unauthorized access or suspected breach. We are not liable for losses arising from your failure to safeguard your account.
Acceptance and discretion
Membership is granted at our sole discretion. We may decline an application, place an account under review, or revoke access at any time where, in our reasonable judgment, an applicant or member does not meet the standards of the community or has acted contrary to these Terms.
02. Content and Intellectual Property
Our content
All editorial content, research, frameworks, briefings, design elements, logos, and platform software made available through the Service (the "TMCC Content") are owned by TMCC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the TMCC Content for your individual professional purposes. You may not:
- Reproduce, republish, redistribute, or commercially exploit TMCC Content without our prior written permission;
- Use TMCC Content to train, fine-tune, or evaluate machine learning or artificial intelligence systems;
- Scrape, crawl, or systematically extract content from the Service by automated means;
- Remove, obscure, or alter any proprietary notices, branding, or attribution; or
- Use the names "The Modern CTO Circle," "TMCC," the tagline "Technology · People · Finance · Future," or our marks in any manner that suggests endorsement or affiliation without our written consent.
Member contributions
The Service may allow you to post comments, questions, profile information, event responses, or other materials ("Member Contributions"). You retain ownership of your Member Contributions. By submitting them, you grant TMCC a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to host, store, reproduce, display, adapt, distribute, and use those contributions for the purpose of operating, promoting, and improving the Service.
You represent and warrant that you own or have the necessary rights to your Member Contributions and that they do not infringe the rights of any third party or violate any law.
Confidentiality of community discussions
Discussions, member directories, and materials shared within members-only areas of the Service are intended for the community and are not for external publication. You agree not to share, quote, or attribute any member's contribution outside the Service without that member's explicit consent. This obligation survives termination of your membership.
Feedback
If you submit suggestions, ideas, or feedback regarding the Service, you grant TMCC a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
03. Community Conduct
The Modern CTO Circle is built on the trust, candor, and mutual respect of senior technology leaders. The following standards apply to all members in all parts of the Service, including comments, events, direct messages, and any official channels operated by TMCC.
Expected conduct
- Engage with professionalism, candor, and good faith;
- Respect the confidentiality of discussions and the privacy of fellow members;
- Disclose material conflicts of interest when relevant to a discussion; and
- Use the Service in compliance with all applicable laws and regulations.
Prohibited conduct
You agree not to:
- Harass, threaten, demean, or discriminate against any member or third party;
- Post content that is unlawful, defamatory, obscene, deceptive, or infringes the rights of others;
- Solicit business, promote unrelated commercial offerings, or use the Service primarily for sales or recruitment outreach without authorization;
- Share confidential or proprietary information that you are not authorized to disclose;
- Misrepresent your identity, employer, role, or experience;
- Interfere with the Service's operation, attempt to gain unauthorized access, probe for vulnerabilities, or circumvent any access or membership controls; or
- Use the Service to transmit malware, spam, or any harmful or disruptive code.
Enforcement
We may, without prior notice, remove content, restrict features, suspend an account, or terminate membership where we determine, in our reasonable judgment, that a member has violated these standards. Repeated or serious violations may result in permanent removal from the community without refund.
04. Termination, Disclaimers, and Disputes
Termination by you
You may close your account at any time through the platform or by contacting support@modernctocircle.com. Closing your account ends your access to members-only areas and any active paid tier benefits, subject to the refund terms of your specific subscription.
Termination by us
We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, including where you have breached these Terms, where continued access creates risk to the community or the platform, or where we discontinue the Service. On termination, the licenses granted to you under these Terms cease immediately. Provisions that by their nature should survive—including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution—will survive.
Disclaimer of warranties
The Service is provided "as is" and "as available." TMCC and its affiliates, officers, employees, and licensors disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. Editorial content is published for informational purposes and does not constitute legal, financial, investment, tax, or other professional advice. You are responsible for your own decisions and outcomes.
Limitation of liability
To the fullest extent permitted by law, in no event will TMCC or its affiliates, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or relating to your use of the Service, whether based on contract, tort, statute, or otherwise, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising from or related to the Service in any twelve-month period will not exceed the greater of (a) the amounts you paid to TMCC for the Service in that period, or (b) one hundred United States dollars (USD $100).
Indemnification
You agree to defend, indemnify, and hold harmless TMCC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Member Contributions, or your breach of these Terms.
Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Dispute resolution
Before filing any formal claim, you agree to first contact us at legal@modernctocircle.com and provide a written description of the dispute. The parties will attempt to resolve the matter in good faith for at least sixty (60) days from receipt of the notice.
If the dispute is not resolved through good-faith discussion, it will be finally resolved by binding arbitration administered in Wilmington, Delaware, under the then-current rules of the American Arbitration Association, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives any right to a trial by jury and to participate in a class or representative action. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.
Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on the Service with a revised "Last updated" date. Material changes will be communicated to active members. Your continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.
General
These Terms, together with any policies referenced within them, constitute the entire agreement between you and TMCC regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
